Preamble
HACCA
is a not-for-profit, tax-exempt, trade association formed to provide membership
education and communication as well as the promotion of member and Industry products,
services, and image in the Greater Omaha Metropolitan Area. Business direction
of the Association is provided by the elected HACCA Board of Directors under
the terms of the By-Laws. The "Standards
of Conduct" are meant to serve as a guideline for all association members in
the conduct of their business.
The
principles and requirements that comprise these standards are to provide a set
of guidelines for all Officers and Directors in the conduct of their fiduciary
responsibilities. These standards are designed to ensure that individual
members of the Board of Directors and the membership in general conduct the
business of the Association as well as their individual business with integrity
while still allowing for the appropriate expression of dissenting viewpoints.
Members of the Board of Directors and members in general affirm their
endorsement of these standards and commit to uphold these principles and
obligations by accepting and retaining membership in HACCA.

Board of Directors - Standards of Conduct
Members
of the Board are elected by the HACCA membership annually for staggered three
year terms. Members of the Board shall
at all times abide by and conform to the following Standards of Conduct in
their capacity as Board Members:
- When serving in the capacity as
a member of the HACCA Board of Directors, each members' fiduciary
responsibility requires that they act in the best interest of HACCA at all
times.
- Each member of the Board of
Directors shall abide by all other rules and regulations of the
association (including but not limited to the Association's articles of
incorporation and bylaws) and will ensure that their membership remains in
good standing at all times.
- Members of the Board of
Directors will conduct the business affairs of the association in good
faith and with honesty, integrity, due diligence, and reasonable
competence.
- Except as the Board of
Directors may permit, or as otherwise required by law, no Board Member
shall share, copy, reproduce, transmit, divulge or disclose any
confidential information related to the affairs of the association. Board members
will uphold the strict confidentiality of all meetings and other
deliberations and communications of the Board of Directors. All discussions and actions by the Board
conducted in Executive Session shall be maintained as confidential and
cannot be shared with those outside the HACCA Board of Directors or
relevant and applicable staff.
- No member of the Board of
Directors will use any proprietary information provided by the Association
or acquired as a consequence of the Board Member's service to the
Association in any manner other than in furtherance of his or her Board
duties.
- The Board of Directors must act
at all times in the best interests of HACCA and not for personal or third
party gain or financial enrichment.
When encountering potential conflicts of interest, Board Members
will identify the conflict and, as required, remove themselves from all
discussion and voting on the matter.

Members Standards of Conduct
Membership
in HACCA is a privilege conferred upon applicants by a majority vote of the
Board of Directors of the association.
Members of HACCA shall at all times abide by and conform to the
following Standards of Conduct:
- Each Member of HACCA shall
conduct their businesses in a manner that reflects positively on HACCA and
on the heating and air conditioning industry in general.
- Each Member of the association
shall abide by all other rules and regulations of the association
(including but not limited to the Association's articles of incorporation
and bylaws) and will ensure that their membership remains in good standing
at all times.
- Each member of HACCA shall
abide by the laws and ordinances of the respective jurisdictions that they
operate within while conducting their business operations.
- It shall be considered a
violation of these Member Standards of Conduct to knowingly sell equipment
to a non-appropriately licensed individual or Company for the "known" area
in which the equipment is to be installed.

Enforcement
Any
violation of the Board of Directors Standards of Conduct may be cause for
sanctions by the Board of Directors upon the Board Member accused of the
violation. It is the responsibility of the Board of Directors to determine the
validity of the accusation and by majority vote determine what sanctions, if
any, are appropriate.
Sanctions
may include removal by the Board of Directors of the accused member from the
Board or membership.
Any
violation of the Members Standards of Conduct may be cause for sanctions by the
Board of Directors upon the member accused of the violation. The Board of Directors shall determine the
validity of the accusation and by majority vote, determine what sanctions, if
any, are appropriate.
Sanctions
may include up to removal by the Board of Directors of the accused member or
member-company from membership in the Association.
